Welcome to Kogi Environmental Solutions Group. The terms “we”, “us”, “our” and “the Group” refer to Kogi Environmental Solutions Inc and its affiliated brands. We operate this website at https://kogi-group.com, including all related information, content, features and tools (the “Site”).
Kogi Environmental Solutions Group brings together three brands: Kogi Environmental Solutions, Dynacom and Watson Power Equipment Solutions. References to the Group in these Terms include all three brands unless stated otherwise.
The following terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you use the Site.
Please read these Terms carefully. They include important information about your legal rights, including warranty disclaimers and limitations of liability.
By visiting, interacting with or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not use or access the Site.
SECTION 1 - WHO WE ARE
Kogi Environmental Solutions Group provides industrial air pollution control and process equipment solutions, including engineering, equipment supply, installation, service and maintenance. Our brands operate as follows:
- Kogi Environmental Solutions, industrial air pollution control systems and environmental solutions
- Dynacom, industrial air pollution control systems and environmental solutions
- Watson Power Equipment Solutions, industrial air pollution control systems and environmental solutions
The Site presents information for all three brands. Sales, service agreements and warranties are contracted with the applicable Group entity as identified in the relevant proposal or contract.
SECTION 2 - ACCESS AND USE OF THE SITE
By agreeing to these Terms, you represent that you are at least the age of majority in your state, province or country of residence.
The Site is intended for business and professional use. When you submit information through the Site, such as a contact form, quote request, newsletter subscription or job application, you represent and warrant that the information you provide is correct, current and complete, and that you have all rights necessary to provide it.
If any area of the Site requires credentials, you are solely responsible for maintaining the security of those credentials and for all activity under them. You may not transfer, sell, assign or license access to any other person.
SECTION 3 - TECHNICAL INFORMATION AND NO ENGINEERING ADVICE
The Site contains general technical information, product descriptions, specifications, application examples, regulatory references and educational resources. This information is provided for general informational purposes only.
Regulatory references on the Site, including references to OSHA, NIOSH, NFPA, EPA and state or local requirements, are provided as general context. They are not a compliance determination and are not legal advice. Requirements change and vary by jurisdiction, facility and process. You are responsible for confirming the requirements that apply to your operation.
Information on the Site does not constitute engineering advice and does not replace a site-specific evaluation. Equipment selection, system design, sizing, installation and compliance depend on conditions specific to each facility, including contaminant type and concentration, airflow, process conditions, occupancy and applicable codes. No system should be selected, purchased or installed based on Site content alone. Contact us for a site-specific assessment before making any decision.
We do not warrant the accuracy, completeness or usefulness of information presented on the Site. Any reliance you place on it is at your own risk.
SECTION 4 - PRODUCT INFORMATION AND AVAILABILITY
We have made every effort to represent our products and services accurately. However, product appearance, colors and finishes may differ from how they appear on your screen due to your device and its settings.
Product descriptions, specifications, availability and performance data are subject to change at any time without notice at our sole discretion. Manufacturers may modify or discontinue products, and we may discontinue or limit any product or product line at any time, for any person, geographic region or jurisdiction, on a case-by-case basis.
We do not warrant that the appearance, specifications or performance of any product will be the same as depicted or described on the Site.
SECTION 5 - QUOTES, PROPOSALS AND ORDERS
The Site does not process sales.
Any quote request, information request or inquiry submitted through the Site is a request only and does not create a contract or reserve equipment, capacity or pricing. Pricing, lead times, scope of work and availability are confirmed only in a written proposal or quotation issued by the applicable Group entity.
Any resulting sale, service engagement or project is governed by the terms of that written proposal, order acknowledgement or contract, together with our standard terms and conditions of sale. In the event of a conflict between those documents and these Terms, those documents govern for that transaction.
Quotes are valid only for the period stated in the quote and are subject to change or withdrawal before written acceptance.
SECTION 6 - PRODUCT WARRANTIES
Warranties for equipment, parts and services are set out exclusively in the applicable proposal, contract, service agreement or manufacturer warranty documentation. Nothing on the Site creates, extends or modifies any warranty.
Equipment manufactured by third parties is covered by the manufacturer’s warranty, and warranty terms vary by manufacturer, product and application.
SECTION 7 - INTELLECTUAL PROPERTY
The Site and its contents, including all text, displays, images, graphics, drawings, diagrams, video, audio, and the design, selection and arrangement thereof, are owned by Kogi Environmental Solutions Group, its affiliates or its licensors, and are protected by U.S. and foreign patent, copyright and other intellectual property laws.
These Terms permit you to view and use the Site for your internal business and personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any material on the Site without our prior written consent.
Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting any license or rights under any patent, trademark, copyright or other intellectual property of the Group or any third party. Unauthorized use of the Site may violate federal and state intellectual property laws. All rights not expressly granted are reserved.
The names, logos, product names, service names, designs and slogans of Kogi Environmental Solutions Group, Kogi Environmental Solutions, Dynacom and Watson Power Equipment Solutions are trademarks of the Group or its affiliates or licensors. You must not use them without our prior written permission.
All other names, logos, brands, product names and trademarks appearing on the Site, including those of the manufacturers and OEM partners whose equipment we represent, are the property of their respective owners. Their appearance on the Site identifies the products and lines we supply or service and does not imply any endorsement, sponsorship or affiliation beyond the relationship described.
SECTION 8 - THIRD-PARTY LINKS AND CONTENT
The Site may contain materials from third parties and hyperlinks to websites provided or operated by third parties, including embedded third-party functionality, manufacturer documentation and specification sheets.
We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites. If you decide to leave the Site to access these materials or sites, you do so at your own risk.
We are not liable for any harm or damages related to your access of any third-party website, or your purchase or use of any products, services, resources or content on any third-party website. Please review third-party policies and practices carefully before engaging in any transaction. Complaints, claims, concerns or questions regarding third-party products and services should be directed to the third party.
SECTION 9 – OPTIONAL TOOLS
The Site may provide access to tools offered by third parties, including forms, calculators, scheduling tools and chat functionality, which we neither monitor nor control.
You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools. Any use of these tools is entirely at your own risk and discretion, and you should ensure you are familiar with and approve of the terms on which they are provided by the relevant third-party provider.
We may offer new features through the Site in the future. Such features shall also be deemed part of the Site and subject to these Terms.
SECTION 10 – PRIVACY
All personal information we collect through the Site is subject to our Privacy Policy, available at https://kogi-group.com/privacy-policy. By using the Site, you acknowledge that you have read our Privacy Policy.
Information you submit through the Site may be transmitted to and processed by service providers acting on our behalf, including hosting, email, analytics and customer relationship management providers, some of which may be located in countries other than where you reside. SECTION 11 – FEEDBACK AND SUBMISSIONS
If you submit, upload, post, email or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including commercial use.
Do not send us confidential or proprietary information through the Site. If you need to share confidential technical or facility information, contact us to arrange an appropriate agreement first.
You represent and warrant that you own or have all necessary rights to all Feedback, that you have disclosed any compensation or incentives received in connection with your submission, and that your Feedback complies with these Terms. We are under no obligation to maintain your Feedback in confidence, to pay compensation for it, or to respond to it.
We may, but have no obligation to, monitor, edit or remove Feedback that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable, or that violates any party’s intellectual property or these Terms.
You agree that your Feedback will not violate any right of any third party, will not contain unlawful, abusive or obscene material, and will not contain any virus or malware. You may not use a false email address, impersonate another person, or otherwise mislead us as to the origin of any Feedback. You are solely responsible for your Feedback and its accuracy.
SECTION 12 – ERRORS, INACCURACIES AND OMISSIONS
Occasionally there may be information on the Site that contains typographical errors, inaccuracies or omissions relating to product descriptions, specifications, pricing, promotions, availability or lead times. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information at any time without prior notice.
We undertake no obligation to update, amend or clarify information on the Site except as required by law. No update or refresh date should be taken to indicate that all information on the Site has been modified or updated.
SECTION 13 – PROHIBITED USES
You may access and use the Site for lawful purposes only. You may not access or use the Site, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any international, federal, provincial, state or local law, rule, regulation or ordinance; (c) to infringe upon or violate our intellectual property rights or those of others; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate or discriminate against any of our employees or any other person; (e) to transmit false or misleading information; (f) to transmit or procure the sending of any advertising or promotional material, including junk mail, chain letters or spam; (g) to impersonate any other person or entity; or (h) to engage in any conduct that restricts or inhibits anyone’s use of the Site or that may harm the Group or users of the Site or expose them to liability.
In addition, you agree not to: (a) upload or transmit viruses or other malicious code; (b) reproduce, duplicate, copy, sell, resell or exploit any portion of the Site; (c) collect or track the personal information of others; (d) spam, phish, pharm, pretext, spider, crawl or scrape; or (e) interfere with or circumvent the security features of the Site or any related website. We reserve the right to suspend, disable or terminate your access at any time, without notice, if we determine that you have violated any part of these Terms.
SECTION 14 – EXPORT COMPLIANCE
Products and technical information available through the Group may be subject to U.S. export control laws and regulations. You agree not to export, re-export or transfer any product, software or technical data obtained from us in violation of applicable export laws, and not to provide them to any restricted party or embargoed destination.
SECTION 15 – TERMINATION
We may terminate this agreement or your access to the Site, or any part of it, in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.
The following sections continue to apply after any termination: Technical Information and No Engineering Advice, Intellectual Property, Feedback and Submissions, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy, and any other provisions that by their nature should survive termination.
SECTION 16 – DISCLAIMER OF WARRANTIES
The information presented on or through the Site is made available solely for general information purposes. We do not warrant its accuracy, completeness or usefulness. Any reliance you place on it is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Site, or by anyone who may be informed of any of its contents.
EXCEPT AS EXPRESSLY STATED IN A WRITTEN AGREEMENT SIGNED BY US, THE SITE AND ALL CONTENT AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE” FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE, REPRESENT OR WARRANT THAT YOUR USE OF THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.
SECTION 17 – LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL KOGI ENVIRONMENTAL SOLUTIONS GROUP, ITS BRANDS, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, BUSINESS INTERRUPTION, PROPERTY DAMAGE, REGULATORY PENALTIES OR REPLACEMENT COSTS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF THE SITE OR ANY RELIANCE ON ITS CONTENT, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SITE, INCLUDING BUT NOT LIMITED TO ANY ERRORS OR OMISSIONS IN ANY CONTENT, EVEN IF ADVISED OF THEIR POSSIBILITY.
Liability arising from the sale of equipment or the provision of services is governed exclusively by the applicable proposal, contract or service agreement.
SECTION 18 – INDEMNIFICATION
You agree to indemnify, defend and hold harmless Kogi Environmental Solutions Group and its affiliates, brands, partners, officers, directors, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable attorneys’ fees, payable to any third party due to or arising out of (1) your breach of these Terms or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Site.
We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent, which shall not be unreasonably withheld. You will cooperate in the defense of indemnified claims, including by providing relevant documents.
SECTION 19 – SEVERABILITY
If any provision of these Terms is determined to be unlawful, void or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. Such determination shall not affect the validity and enforceability of any remaining provisions.
SECTION 20 – WAIVER AND ENTIRE AGREEMENT
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
These Terms and any policies or operating rules posted by us on the Site constitute the entire agreement and understanding between you and us regarding your use of the Site, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, including any prior versions of these Terms. This does not affect any separate written agreement governing the purchase of equipment or services.
Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.
SECTION 21 – ASSIGNMENT
You may not delegate, transfer or assign this agreement or any of your rights or obligations under these Terms without our prior written consent, and any such attempt will be null and void. We may transfer, assign or delegate these Terms and our rights and obligations without consent or notice to you.
SECTION 22 – GOVERNING LAW
These Terms and any separate agreements whereby we provide you access to the Site shall be governed by and construed in accordance with the laws of the State of North Carolina and the federal laws of the United States, without regard to conflict of law principles. You and Kogi Environmental Solutions Group consent to venue and personal jurisdiction in the state and federal courts located in Guilford County, North Carolina.
SECTION 23 – HEADINGS
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
SECTION 24 – CHANGES TO THESE TERMS
You can review the most current version of these Terms at any time on this page.
We reserve the right, in our sole discretion, to update, change or replace any part of these Terms by posting updates and changes to the Site. It is your responsibility to check periodically for changes. We will notify you of any material changes in accordance with applicable law, and such changes will be effective on the date specified in the notice.
Your continued use of or access to the Site following the posting of any changes constitutes acceptance of those changes.
